Terms of Use

RoofKit provides a multi-tenant SaaS platform that helps roofing contractors manage marketing, leads, quotes, measurement workflows, AI-assisted visualization, and related business tools.

You must provide accurate account information and maintain the security of your credentials. You are responsible for activity that occurs under your workspace account unless you promptly notify us of unauthorized access.

You agree not to misuse RoofKit. Prohibited conduct includes:

• Violating applicable laws or third-party rights.
• Attempting to access another tenant's data without authorization.
• Uploading malware, spam, or abusive content.
• Reverse engineering or interfering with platform security or availability.
• Using AI outputs as guaranteed professional, engineering, or legal advice.
• Collecting personal information through a RoofKit page without the notice and consent that your jurisdiction requires.

RoofKit provides the platform. Individual roofing companies configure branded public experiences and decide how to use lead, quote, and customer data collected through their workspaces.

For homeowner and lead personal information, you are the business and the controller, and RoofKit is your service provider and processor. RoofKit processes that information only on your documented instructions under the data processing addendum at /dpa, which forms part of these Terms.

For your account, workspace configuration, and billing information, RoofKit is the business and the controller, and the Privacy Policy at /privacy describes that processing.

You are responsible for the notice you display at the point of collection, for the consent you capture, and for answering the privacy requests that consumers send to you. RoofKit supplies export and deletion tooling so you can answer them.

Homeowners and public visitors interact with roofer-branded experiences. RoofKit is not a party to agreements between roofers and their customers unless explicitly stated otherwise.

RoofKit may generate AI-assisted visualizations, summaries, measurements, and recommendations. These outputs are provided for informational purposes only and may be incomplete or inaccurate. You are responsible for reviewing outputs before relying on them in sales, production, or compliance contexts.

A measurement report is an estimate produced from imagery and modeling. It is not a survey, an engineering certification, or a substitute for a physical inspection.

These definitions apply to the license and intellectual property sections that follow.

You grant Verve AI LLC a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable and transferable license to host, store, reproduce, modify, analyze, create derivative works from, and otherwise use Service Data, Aggregated Data, and De-Identified Content in order to operate, secure, analyze, develop, train, benchmark, and improve the RoofKit platform, its measurement and estimating systems, and its AI models.

That license expressly includes the right to use this material to train and evaluate machine learning models, and the right to have trained reviewers read it for quality review, model evaluation, benchmarking, and operator training. It survives termination of your subscription.

The material covered by this license includes, without limitation, the following, in each case only after it meets the De-Identified Content standard:

• Measurement reports, roof geometry, facets, planes, pitch, line classifications, and area calculations.
• Machine line proposals and the corrections an operator made to them, which is the pair a measurement model learns from.
• Aerial and uploaded imagery of a roof, and the generated visualization derived from it.
• Report structure, estimate structure, material selections, waste factors, and pricing structure expressed as ratios rather than as your contract prices.
• Prompts, generated outputs, model scores, ratings, corrections, and feedback that users submit about an AI result.
• Platform telemetry, including how a workflow was used, where it failed, and how long it took.

For measurement training, RoofKit reads a property address and precise roof coordinates only inside RoofKit, and only to confirm that stored imagery matches that property. The training record is a geometric derivative. It contains roof geometry in a local frame that follows the size of the footprint, line proposals, measurements, and the corrections an operator made. It does not contain the street address, lead contact details, absolute coordinates, a zoom level, or an identifier that links the example to a report, a workspace, or a household. This license covers that record only after it meets the De-Identified Content standard. Linked source records remain Customer Personal Data.

This license does not grant RoofKit any right to use identifiable Customer Personal Data for its own purposes. RoofKit commits to the following limits, which are contractual obligations rather than statements of intent:

• RoofKit does not train general-purpose models on identifiable Customer Personal Data.
• RoofKit does not sell Customer Personal Data or share it for cross-context behavioral advertising in its service provider role under the Data Processing Addendum. An advertising integration does not override those restrictions.
• RoofKit does not combine Customer Personal Data with personal information from another source to build or modify a profile of a consumer for the benefit of another business.
• RoofKit does not disclose your identity, your customer identities, your contract prices, or your workspace performance to another customer.
• RoofKit takes reasonable measures to prevent association with a consumer or household and maintains De-Identified Content in de-identified form, does not attempt to re-identify it, and imposes the same obligation by contract on anyone who receives it.
• RoofKit publishes benchmark or market statistics only in aggregated form that no reader can resolve to a single workspace.

You represent that you have the rights and the permissions necessary to submit Customer Content and to grant this license, and that your point-of-collection notice describes the processing that this platform performs.

Enterprise customers may request a written amendment that narrows this license. Contact legal@roofkit.ai.

Paid plans, usage limits, and billing terms are presented during checkout or in workspace billing settings. Subscriptions and payment methods may be managed through our payment provider portal where available.

RoofKit and its licensors retain all rights in the platform, branding, models, and underlying software. We grant you a limited, non-exclusive license to use RoofKit according to your subscription and these Terms.

You retain rights in Customer Content, subject to the license needed for us to host, process, and display that content to provide the service, and subject to the platform data license above.

As between you and RoofKit, you own the measurement reports and estimates that the platform generates for your workspace, and you may use them in your business without restriction. RoofKit retains ownership of the models, methods, and systems that produced them.

RoofKit color catalogs may carry manufacturer product and brand names. RoofKit is not affiliated with, endorsed by, or sponsored by those manufacturers. Product and brand names are trademarks of their respective owners and appear only to identify the product a homeowner is considering.

Catalog swatches are RoofKit approximations rendered from measured color values, not manufacturer samples or an official color specification. Confirm the final color against a physical sample before ordering.

We may suspend or terminate access if you violate these Terms, create security or legal risk, or fail to pay applicable fees. You may stop using RoofKit at any time, subject to billing and data retention terms.

On termination, RoofKit deletes or returns Customer Personal Data on the schedule stated in the data processing addendum at /dpa. The platform data license over Aggregated Data and De-Identified Content survives, because that material can no longer be resolved to you or to any individual.

RoofKit is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement unless required otherwise by applicable law.

To the maximum extent permitted by law, Verve AI LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the platform.

These Terms are governed by the State of Florida, United States, except where mandatory law provides otherwise. The parties submit disputes to the state courts in Martin County, Florida, or the federal courts serving that county. This clause does not restrict mandatory consumer rights or access to a competent regulator.
